Private Coaching Agreement

Terms & Conditions

THIS COACHING AGREEMENT (this “Agreement”) is entered into on the date of acceptance by and between Dani Tan LLC, having a mailing address at 5764 N Orange Blossom Trl PMB 63127, Orlando, FL 32810 (“Coach,” “We,” “Our”), and the individual completing this Agreement (“Client,” “You”). The parties are hereinafter sometimes referred to individually as a “Party” and collectively as the “Parties.”

Purpose of the Agreement. Client desires to engage Coach to provide coaching services. Coach has agreed to provide such services according to the terms set forth below.

Description of Services. During the Term, Coach agrees to provide Client with private 1:1 coaching services, which include:

  • 1:1 coaching sessions held via Zoom
  • Between-session support via Slack, including voice notes, written messages, and document review
  • Access to a shared Google Drive folder for coaching notes and document collaboration
  • Access to session recordings and AI-generated transcripts via Grain
  • Access to the Client Portal, which houses coaching resources and session materials

Coaching is a partnership between Coach and Client in a thought-provoking and creative process that inspires the Client to maximize personal and professional potential. It is designed to facilitate the creation and development of personal, professional, or business goals and to develop and carry out a strategy for achieving those goals. Coaching is not therapy, counseling, medical advice, legal advice, or financial advice, and is not a substitute for professional mental health support.

Term. This Agreement begins on the date of acceptance and concludes upon the earlier of (a) Coach’s completion of the Services or (b) the date on which all sessions in Client’s package have been used or deemed used under the Scheduling terms below, unless otherwise discontinued in accordance with the terms of this Agreement.

Scheduling. Coaching sessions will be held on dates and times as agreed upon by the Parties. Sessions are up to 45 minutes in length unless otherwise specified. Online sessions are held via Zoom.

Sessions are intended to be scheduled consecutively, with the next session booked at the close of each session. If more than thirty (30) days pass without the Client’s next session scheduled, one session will be deemed used. Sessions are not paused or extended except by written approval from Coach.

Between-Session Communication. Between sessions, Client may reach Coach via Slack — the primary communication platform for this coaching relationship. Coach responds to messages within 1-2 business days. Same-day responses are not guaranteed. Messages marked urgent will be prioritized but remain subject to the same response window.

Client agrees to respond to Coach correspondence within 2 business days. If Client fails to respond within this timeframe, Coach has the discretion to postpone or cancel services without a refund.

Coaching Prep. Client agrees to submit the Onboarding Form at least 48 hours before the first session and to complete the Pre-Session Form at least 24 hours before each subsequent session. These forms help Coach prepare and ensure each session is as productive as possible.

Session Recording & Transcription. Sessions are recorded via Grain. By entering into this Agreement, Client consents to sessions being recorded via Zoom and processed through Grain, which generates an AI transcript of each call. These recordings and transcripts are for the Client’s use — to rewatch sessions, revisit key takeaways, and track action items. They are stored on Grain’s platform and accessible to both Coach and Client. Recordings and transcripts will not be used for any other purpose, shared publicly, or used for promotional purposes without separate written consent from Client.

Client Portal & Tools. Client will have access to the Client Portal, Google Drive, Grain, and Slack as part of this coaching engagement. These platforms are provided to support the coaching relationship. Each platform is subject to its own terms of service and privacy policy. Coach is not responsible for the data handling practices of third-party platforms.

Payment Method. Payments are processed through ThriveCart or via invoice through Novo. Client may update payment details, request an invoice, or reference their payment plan through the payment portal at any time.

Late Fees. If Client fails to make a scheduled payment, Client will be charged a late fee of $50 for each day that Coach does not receive payment.

Disclaimer. This Service is not intended to constitute legal, medical, financial, or mental health advice, nor is it a substitute for licensed professional support. If difficulties arise during the coaching relationship, Client agrees to notify Coach immediately so that an appropriate referral can be made. Coach will exercise best professional judgment, skill, and care. Coach does not guarantee results. Client understands and acknowledges that Coach will not be liable, legally or otherwise, for any actions Client may or may not take as a result of coaching sessions.

Assumption of Risk. Client understands and assumes the risk of the coaching engagement. Any actions taken by Client as a result of coaching are solely the choice and responsibility of the Client. Client enters into coaching with full understanding that they are responsible for creating their own results.

Confidentiality. Both Parties agree to maintain the confidentiality of information shared within the coaching relationship. Coach will not disclose Client’s personal information, session content, or identifying details to any third party without Client’s written consent, except as required by law. Client will not disclose Coach’s proprietary materials, processes, or business information to any third party. This provision survives the termination of this Agreement.

Intellectual Property. All materials, frameworks, resources, and content provided by Coach through the Client Portal, Google Drive, or otherwise during the coaching engagement remain the intellectual property of Coach. Client may use these materials for personal development purposes only and may not reproduce, share, or distribute them without written permission from Coach.

Publicity & Content. By entering into this Agreement, Client grants Coach permission to use anonymized insights, themes, patterns, and learnings from sessions for marketing, speaking engagements, educational content, writing, and business purposes. Client’s name, employer, and any identifying details will always be kept private by default. If Coach wishes to reference a Client’s story in a way that could identify them, separate written consent will be requested at that time and Client is under no obligation to agree.

Referrals. Coach may refer Client to external resources including therapists, financial planners, or other professionals where appropriate. If after two sessions Coach recognizes that Client’s needs fall outside the scope of coaching, Coach will provide an appropriate referral.

Termination/Cancellation Policy. This Agreement is terminable by either Party at any time, with or without cause, upon 10 days written notice to the other Party. Due to the nature of live coaching services, all fees are non-refundable. Client must notify Coach of any cancellations via email at dani@danitan.com.

Offboarding. Upon conclusion of the coaching engagement, Client will be offboarded within 7 days of their final session. This includes removal from the private Slack workspace and deactivation of Client Portal access. Prior to offboarding, Client is encouraged to save copies of any Google Drive documents, Grain session recordings, and any other materials they wish to retain. Coach will provide advance notice before offboarding is initiated. Coach is not responsible for any materials not saved by Client prior to access being removed.

Rescheduling Policy. Client may reschedule up to 24 hours before a scheduled session without penalty. Rescheduling requests made within 24 hours of a session may result in a rescheduling fee of $50 at Coach’s discretion. Failure to attend a session without notice constitutes a forfeiture of that session.

Inability to Perform. If Coach cannot perform her obligations due to serious illness or other unforeseeable circumstances, Coach will notify Client promptly and reschedule at a mutually agreed upon date.

Force Majeure. Neither Party will be considered in breach of this Agreement for any delay or failure to perform due to circumstances beyond their reasonable control, including fire, earthquake, flood, pandemic, act of terrorism, or similar events.

Exclusivity. Client acknowledges that they have engaged Coach to provide the Services described in this Agreement. Coach asks that Client refrain from simultaneously engaging another coach or service provider offering the same scope of services during the Term, as this supports the integrity and continuity of the coaching work.

Data Privacy. Coach takes reasonable steps to protect Client data and communications. Client acknowledges that certain tools used in this coaching engagement (including Slack, Zoom, Grain, and Google Drive) are third-party platforms and that their data handling is governed by each platform’s own privacy policy.

Indemnification. Client will defend, indemnify, and hold harmless Coach and Dani Tan LLC, its officers, directors, employees, and owners from any and all liabilities, claims, damages, losses, and expenses arising out of any breach of Client’s representations, warranties, or covenants in this Agreement, or any negligent or willful act or omission by Client.

Dispute Resolution. If the Parties cannot resolve a dispute through good-faith negotiation, they will attempt to resolve it through mediation or alternative dispute resolution before filing a civil cause of action.

Governing Law; Venue. This Agreement is governed by the laws of the State of Florida. Any legal action arising out of this Agreement will be brought in the State of Florida.

Entire Agreement. This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements on the subject matter.

Severability. If any provision of this Agreement is deemed illegal or unenforceable, the remaining provisions remain in full force.

Amendments. Coach may update the terms of this Agreement at any time upon fourteen (14) days written notice to Client. Updates will not reduce the number of sessions or increase the fees of a package already purchased. Continued participation after the notice period constitutes acceptance of the updated terms. Any other amendment requires a written agreement executed by both Parties.

Notices. All notices will be delivered via email. Notices to Coach should be sent to dani@danitan.com.
